Overview Commercial Legal Group Manager

This individual is responsible for providing accurate and timely legal, commercial, tax and M & A advice to the Executive Directors, Group Management and Exco. Responsibilities include researching and evaluating different risk factors and offering proactive advice on possible legal and commercial issues, including also the drafting of relevant agreements.

The successful candidate will maintain current knowledge of laws and will regularly monitor and ensure the Group’s compliance with local laws in the context of the complex construction and mining environment.

Job Criteria : Commercial Legal Group Manager

• Draft, review, edit, interpret and negotiate agreements and other legal documents in a timely manner and advising management on potential risks.
• Attending to closing requirements on M & A transactions.
• Research and report on unique legal issues impacting the business.
• Keep abreast of legislative changes that may affect the business.
• Serve as liaison between the Company and external attorneys.
• Attend meetings and manage the correspondences with clients and external persons.
• Exemplary writing and editing skills.
• Excellent communication and analytical skills in both written and spoken English.
• Discretion in handling confidential matters.
• Excellent judgment and ability to anticipate legal issues or risks.
• Manage all aspects of litigation or alternative dispute resolution including mediation, conciliation and arbitration.

Desired Experience & Qualification

Qualifications & Experience : Commercial Legal Group Manager

• BCom LLB degree plus admission as an Attorney
• Alternatively CA(SA)
• MBA/Management Qualification (an advantage)
• Minimum of 10 years in Senior Management
• Mergers & Acquisitions experience essential.
• Construction and/or Mining Law will be an advantage.
• JSE listed company and Companies Act knowledge & experience.
• A good understanding of SA Tax and knowledge of international tax will be advantageous.

• Service-minded and able to work independently.
• Able to work under pressure.
• This role is expected to be self-managing with a keen openness to learning and understanding the legislation and market factors in the mining, construction and civil engineering space.
